1. Acceptance of Terms

By downloading, installing, or using the SendBag application or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

SendBag is a notification service that allows users to send encrypted push notifications to Apple Watch devices. The Service includes the Apple Watch application, web interface, and API.

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

NO DELIVERY GUARANTEE: WE DO NOT GUARANTEE THE DELIVERY OF ANY NOTIFICATIONS. Messages may be delayed, fail to deliver, or be lost entirely due to factors including but not limited to: network conditions, device availability, Apple Push Notification service issues, server outages, or other technical failures. You acknowledge and accept that notification delivery is provided on a best-effort basis only.

3. Not for Critical Use

THE SERVICE IS NOT INTENDED FOR USE IN SITUATIONS WHERE FAILURE TO RECEIVE A NOTIFICATION COULD RESULT IN DEATH, PERSONAL INJURY, PROPERTY DAMAGE, FINANCIAL LOSS, OR OTHER SIGNIFICANT HARM.

You agree not to use the Service for:

  • Medical alerts, health monitoring, or emergency notifications
  • Safety-critical systems or security alerts
  • Financial trading or time-sensitive financial transactions
  • Emergency response or disaster notification systems
  • Any application where notification failure could result in harm or significant loss

The Service is intended for informational and convenience purposes only. You are solely responsible for implementing appropriate backup systems and should never rely on the Service as your only means of receiving critical information.

4. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

5. Subscriptions and Payments

Free Trial: New users may be eligible for a free trial period. The trial provides full access to the Service. At the end of the trial period, you must subscribe to continue using the Service.

Subscription: The Service requires a paid subscription. Current pricing is available on our Pricing page and in the App Store. Prices are subject to change at any time.

Billing: All payments are processed through the Apple App Store. By subscribing, you agree to Apple's terms and conditions for in-app purchases. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.

Cancellation: You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period.

Refunds: Refund requests must be directed to Apple through the App Store, as we do not process payments directly.

6. Usage Limits and Account Management

The Service is subject to usage limits, including but not limited to the number of messages that may be sent per device per month. Current limits are displayed on our Pricing page. Messages exceeding applicable limits may be rejected.

We reserve the right to modify usage limits at any time without notice.

We reserve the right to delete any device registration that we determine, in our sole discretion, to be inactive, abandoned, or associated with abuse or violation of these Terms, without prior notice.

7. Acceptable Use

You agree not to use the Service to:

We reserve the right to suspend or terminate your access to the Service immediately and without notice for any violation of these Terms.

8. User Content

You are solely responsible for all content you transmit through the Service ("User Content"). Due to end-to-end encryption, we cannot monitor or review the contents of your notifications.

You represent and warrant that you have all necessary rights to transmit your User Content and that your User Content does not violate any third-party rights or applicable laws.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SendBag and is protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

The Service relies on third-party services including Apple Push Notification service (APNs) and the Apple App Store. We are not responsible for the availability, reliability, or performance of these third-party services.

Your use of third-party services is subject to the terms and policies of those third parties.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate or reliable; (d) any errors in the Service will be corrected; or (e) the Service will be compatible with your device or other software.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENDBAG, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content transmitted through the Service
  • Any failed, delayed, or misdirected notifications
  • Any service outage, downtime, or unavailability, whether scheduled or unscheduled
  • Any reliance you place on the Service or its availability
  • Any decisions or actions you take or fail to take based on notifications received or not received through the Service

YOU EXPRESSLY ACKNOWLEDGE THAT WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM FAILURE TO DELIVER NOTIFICATIONS, REGARDLESS OF THE CAUSE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM MISSED ALERTS, DELAYED MESSAGES, OR SERVICE INTERRUPTIONS.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless SendBag and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your User Content.

15. Service Modifications and Termination

Service Changes: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Termination by Us: We may terminate or suspend your access to the Service immediately, without prior notice, for any reason or no reason, at our sole discretion. This includes, but is not limited to, termination due to violation of these Terms, discontinuation of the Service, or any other business reason.

Termination by You: You may terminate your use of the Service at any time by uninstalling the app and cancelling your subscription through your Apple ID account settings.

Refunds Upon Termination by Us: If we terminate the Service entirely or terminate your access without cause (i.e., not due to your violation of these Terms), you may be eligible for a pro-rata refund of any prepaid subscription fees. Refund requests must be submitted to Apple through the App Store, as we do not process payments directly. We make no guarantee that Apple will approve such refund requests.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of the Republic of Korea.

You agree that any legal action or proceeding shall be brought exclusively in the courts of the Republic of Korea, and you consent to the personal jurisdiction of such courts.

17. Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of SendBag.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SendBag regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

22. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
